1. Introduction & Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of our website, AI-powered procurement tools, business profile builders, and all associated services (collectively, the “Services”).

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Services.

2. Eligibility & Account Registration

To use ConnectSBE, you must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of your business. During registration, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. ConnectSBE Services

ConnectSBE provides a digital ecosystem designed to help small and diverse businesses achieve "procurement readiness" through several key modules:

• Capability Statement Builder: A tool to help businesses articulate their value proposition for government and corporate contracting.
• Smart Portfolio Builder: A module to showcase past performance and core competencies.
• AI-Powered RFP Analysis: Automated tools to analyze Requests for Proposals (RFPs) and provide strategic insights.
• NAICS & NIGP Integration: Standardized business classification mapping for better opportunity matching.
• Resource Registry: Access to curated certification registries and procurement resources.

4. AI-Powered Features & User Data

Our Platform utilizes Artificial Intelligence (AI) to provide recommendations, generate content, and analyze data. By using these features, you acknowledge and agree that:

• AI Accuracy: While we strive for accuracy, AI-generated content (such as RFP summaries or draft capability statements) may contain errors. You are responsible for reviewing and verifying all AI-generated output before use.
• Data Usage: We may use anonymized, aggregated data provided by users to improve our AI models and overall Platform performance, in accordance with our Privacy Policy.

5. User Content & Intellectual Property

You retain ownership of any content you upload, including business profiles, certifications, and experience data (“User Content”). By submitting User Content, you grant ConnectSBE a worldwide, royalty-free license to use, host, and display such content solely for the purpose of providing and improving our Services.

All Platform-specific content—including our logo, software code, UI design, and proprietary tools—is the property of ConnectSBE and is protected by intellectual property laws. You may not copy, reverse-engineer, or distribute our proprietary materials without express written consent.

6. Procurement Disclaimer

ConnectSBE is a facilitation and readiness platform. We do not guarantee that your use of the Services will result in the award of any contract, certification, or business opportunity. All decisions regarding procurement and contracting remain the sole responsibility of the respective buyers and government agencies.

7. Prohibited Conduct

You agree not to:

• Misrepresent your business certifications, size, or status.
• Use the Platform to transmit malware, spam, or fraudulent communications.
• Scrape, crawl, or spider the Platform for commercial data extraction.
• Attempt to bypass any security or authentication measures.

8. Disclaimers & Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind. ConnectSBE shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or business opportunities) arising out of or related to your use of the Platform.

9. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, if we believe you have violated these Terms or engaged in conduct detrimental to the Platform or its users.

10. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New York, NY.
